There is one thing to understand about closing a company in Hamriyah Free Zone, and almost nobody says it clearly: terminating your lease and licence is not the same as liquidating your company. HFZA company termination covers the lease and the licence. An FZE or FZC must separately complete liquidation or deregistration under the free zone Implementing Rules and Regulations.
Owners who do the first and assume they have done the second end up with a terminated lease and a company that still legally exists. This page sets out both, and the notice periods that decide your timeline.
What HFZA Company Termination Involves
Hamriyah Free Zone Authority termination is the formal ending of your facility lease and trade licence, cleared through four departments and finished with a clearance certificate. It applies to FZE and FZC companies and to branches and subsidiaries, with different paperwork for each.
- FZE and FZC: a termination form signed by all shareholders, plus separate liquidation under the Implementing Rules
- Subsidiaries and branches: a legalised board resolution instead of the shareholder signed form
- All entities: the notice period, the four clearances, the return of original documents and the final clearance certificate
For plot and warehouse holders there is a fifth element that often takes longer than the paperwork: restoring the facility to a condition the engineering department will accept.
The Notice Periods, Which Depend on Your Facility
This is the number that decides your timeline, and it is not the same for everyone.
| Facility | Notice period |
|---|---|
| Office or shop | 1 month |
| Warehouse | 3 months |
| Plot | 6 months |
Charges are calculated from the date the termination notice was submitted, or from the date the termination form was signed. Where the licence is simply not renewed, they run from the licence expiry date instead. HFZA states that the full termination charge cannot be calculated before the application is submitted, so any fixed total quoted in advance is an estimate rather than a figure.
For plot and warehouse holders the notice can be submitted before starting the rest of the procedures, which is worth doing early. Six months is a long time to discover at the end.
Compare that with SAIF Zone, where the standard notice is 90 days from acceptance of the application, and with Sharjah Media City, which works to a thirty day resolution window instead of a facility based notice.
Why Closing Properly Matters
Rent is payable until the facility and the keys are returned, so an abandoned warehouse keeps costing money long after the business has stopped. The clearance certificate is only issued once every procedure is complete and the Visa Department has issued its no objection, and the refund of your credit balance and lease deposit is only released after that.
And because licence termination is not liquidation, an FZE or FZC that stops at the lease still has a live company with live obligations. The tax deadlines are indifferent to all of it: corporate tax deregistration within three months of cessation, dissolution or liquidation, with AED 1,000 per month up to AED 10,000 for a late application, and VAT deregistration within 20 business days. Our VAT and corporate tax team handles both alongside the closure.
Who Needs HFZA Termination Support
- Warehouse and plot holders, where the three or six month notice and the restoration requirement dominate the timeline
- Industrial and manufacturing licences, which need customs clearance as well
- FZE and FZC owners who need both the lease termination and the separate liquidation handled, not just one
- Branches and subsidiaries needing a legalised, attested board resolution
- International parents, where UAE Embassy and Ministry of Foreign Affairs attestation is required
- Office and shop licence holders wanting a clean one month exit
- Owners who have already stopped trading and are still accruing rent
The HFZA Termination Process, Step by Step
Step 1: Submit the Notice, Especially for a Plot or Warehouse
Charges run from the notice date or the form signature date, so for a three or six month notice this is the first thing to do, not the last.
Step 2: Complete the Termination Form or the Board Resolution
An FZE or FZC submits a termination form signed by all shareholders, signed only once the Leasing and Licensing Department requirements are complete. A subsidiary or branch instead submits a legalised board resolution containing a closure clause, an authorisation clause naming the authorised person, cheque or bank account details for refunds and deposits, and an updated email and contact number.
International branches and subsidiaries need the resolution attested by the UAE Embassy in the country of origin and by the UAE Ministry of Foreign Affairs. Local branches and subsidiaries must be registered with the relevant authority or government department. Our PRO services team runs the attestation chain, which is the longest item outside the notice period itself.
Step 3: Clear the Customer Service Department
A no objection certificate from Customer Service.
Step 4: Clear Maintenance, and Restore the Facility
For a plot or warehouse, the facility must be restored and returned with a SEWA no objection certificate to the Engineering Department for inspection. BEEAH receipts go to the EHS Department. Rent remains payable until the facility and the keys are returned, so a slow restoration is an expensive one. For an office, the keys are simply returned to the Maintenance Department.
Step 5: Clear Customs, If You Hold a Commercial or Industrial Licence
A customs clearance certificate is required only for commercial and industrial licences. Service licences are not affected.
Step 6: Return the Original Documents
To Leasing and Licensing: the licence, the certificate of incorporation, the share certificates, the memorandum and articles of association, the company register and the lease agreement.
Step 7: Complete the Separate Liquidation, for an FZE or FZC
This is the step the published termination guidelines explicitly carve out. Lease and licence termination does not liquidate the company. An FZE or FZC completes liquidation or deregistration under the free zone Implementing Rules and Regulations, which is where the liquidator and the audit work come in.
Step 8: Cancel Visas and Obtain the Visa Department NOC
The clearance certificate is only issued once all termination procedures are complete and the Visa Department no objection certificate has been submitted.
Step 9: Request the Refund
A refund request letter naming the beneficiary goes to Finance and Accounts after the closing procedures and the account finalisation are complete. Refunds are paid in the company name unless the board resolution names a different beneficiary, which is why that clause belongs in the resolution from the start.
Step 10: Collect the Clearance Certificate
Keep it. Your bank will want it to close the corporate account, and you will be asked for it if you set up again.
Documents Required
- Termination form signed by all shareholders, for an FZE or FZC
- Legalised board resolution for a subsidiary or branch, with the closure clause, the authorisation clause, refund bank details and updated contact details
- Embassy and Ministry of Foreign Affairs attestation, for an international branch or subsidiary
- Original trade licence, certificate of incorporation, share certificates, memorandum and articles of association, company register and lease agreement
- SEWA no objection certificate and BEEAH receipts, for plots and warehouses
- Customs clearance certificate, for commercial and industrial licences
- Visa Department no objection certificate, after visa cancellations
- Liquidation documents under the Implementing Rules, for an FZE or FZC
- Original deposit receipts and a refund request letter
- VAT and corporate tax deregistration confirmations where registered
Realistic Timeline
Start from your notice period and add the rest.
| Facility | Notice | What usually adds time on top |
|---|---|---|
| Office or shop | 1 month | Visa cancellation, attestation for foreign parents, the separate FZE or FZC liquidation |
| Warehouse | 3 months | Restoration, SEWA clearance, BEEAH receipts, engineering inspection, customs clearance |
| Plot | 6 months | All of the above, usually with more restoration work |
The notice period is not the finish line. For an FZE or FZC the liquidation under the Implementing Rules runs on its own track, and the clearance certificate waits for the Visa Department no objection.
What Drives the Cost
One figure is published: AED 1,500 towards publication of the termination notice in an Arabic and English newspaper. HFZA states the full termination charge cannot be calculated before the application is submitted, so treat any other fixed figure you are quoted in advance as an estimate.
- Rent accruing until the facility and keys are returned, which is the largest variable for warehouse and plot holders
- Facility type, which sets the notice period and therefore the charge window
- Restoration work to bring a plot or warehouse back to an acceptable condition
- Outstanding SEWA and BEEAH charges
- Number of residence visas to cancel
- Attestation costs for an international parent
- Audit and liquidator fees for the separate FZE or FZC liquidation
- Outstanding tax filings and any penalties already accrued
Government and free zone fees are confirmed by the authority and can change. We quote our professional fee in writing before starting and set out the expected authority charges separately.
Common Mistakes We See
- Thinking the lease termination closed the company. It did not. An FZE or FZC still has to liquidate under the Implementing Rules.
- Submitting the notice late. Six months on a plot starts when the notice goes in, not when you decided to leave.
- Leaving restoration to the end. Rent runs until the facility and keys are returned, so every week of delay is billable.
- Omitting the refund beneficiary from the board resolution. The refund is paid in the company name unless the resolution names someone else, which is awkward once the account is closed.
- Starting attestation too late. Embassy and Ministry of Foreign Affairs attestation for an international parent is the longest item outside the notice period.
- Assuming customs clearance does not apply. It does for commercial and industrial licences.
- Forgetting the tax deregistrations. They run on their own deadlines regardless of the free zone.
Why Choose Nines Consultancy
The two things that decide an HFZA closure are the notice date and the order of the clearances. Both are easy to get wrong and expensive to get wrong, because rent keeps running while you sort it out.
Nines Consultancy is a business consultancy, not a registered liquidator in every emirate. For the separate FZE and FZC liquidation we work in partnership with liquidators and licensed audit firms recognised by the Sharjah authorities, and we manage the process around them so you deal with one point of contact.
What We Handle

Frequently Asked Questions
1. How much notice do I have to give HFZA before closing?
It depends on your facility. One month for an office or shop, three months for a warehouse, and six months for a plot. Charges are calculated from the date the notice was submitted or the termination form was signed, or from the licence expiry date where the licence is simply not renewed.
2. Is terminating my HFZA licence the same as liquidating my company?
No, and this is the most important point on this page. The HFZA termination procedures cover the lease and the licence only. An FZE or FZC must separately complete liquidation or deregistration under the free zone Implementing Rules and Regulations. Stopping at the lease leaves you with a company that still legally exists.
3. What clearances does HFZA require?
Four. A no objection certificate from the Customer Service Department, a clearance certificate from the Maintenance Department, a customs clearance certificate for commercial and industrial licences only, and the return of the original documents to Leasing and Licensing. The final clearance certificate also needs a no objection certificate from the Visa Department.
4. What does HFZA termination cost?
One figure is published: AED 1,500 towards publication of the termination notice in an Arabic and English newspaper. HFZA states that the full termination charge cannot be calculated before the application is submitted, because it depends on rent to the date of key return, the facility type, outstanding utilities and the visa position.
5. What do I need to do with a warehouse or a plot?
Restore the facility and return it with a SEWA no objection certificate to the Engineering Department for inspection, and submit BEEAH receipts to the EHS Department. Rent remains payable until the facility and the keys are returned, so a slow restoration directly increases the cost.
6. What does a branch or subsidiary need instead of the termination form?
A legalised board resolution containing a closure clause, an authorisation clause naming the authorised person, cheque or bank account details for the transfer of refunds and deposits, and updated contact details. An international branch or subsidiary also needs the resolution attested by the UAE Embassy in the country of origin and by the UAE Ministry of Foreign Affairs.
7. When do I get my deposit back?
After the closing procedures are complete and the accounts are finalised. A refund request letter naming the beneficiary goes to Finance and Accounts. The refund is paid in the company name unless the board resolution names a different beneficiary, which is why that clause should be in the resolution from the start.
8. Do I still need to deregister for VAT and corporate tax?
Yes, and neither the lease termination nor the liquidation triggers it for you. VAT deregistration must be applied for within 20 business days of cessation. Corporate tax deregistration must be applied for within three months of cessation, dissolution or liquidation, with the final return filed for the period up to the cessation date. A late corporate tax application carries AED 1,000 per month up to AED 10,000.
